Please read these Terms of Use (“Terms”) carefully before accessing, downloading or using SpeakingPal mobile or web application (“SpeakingPal App”) or the Services made available therein (as defined below)
SpeakingPal Apps, developed and operated by SpeakingPal LTD. (collectively with its affiliated company and subsidiaries, "SpeakingPal", “Company”, “we”, “us” or “our”), provides certain features and functionalities designed to enhance English speaking skills (collectively the “Services”).
SpeakingPal App is offered and can be obtained either directly by individuals (“Individual Users”) or to be used by end user of our third-party education institutions or governmental authorities’ customers and other business partners (respectively, “Partners” and “Partner User”).
These Terms, together with any additional policies or terms incorporated herein or that may be provided by us from time to time (collectively the “Agreement”), governs the download, access and use of the SpeakingPal App and the Services by any Individual Users or Partners Users (collectively “user” or “you”).
These Terms further incorporate, and should be read in conjunction with, our Privacy Policy available at: [add link to privacy policy], which constitutes an integral part thereof. Each of the Company and user shall be further referred to herein as a “party” and collectively the “parties”.
THIS AGREEMENT IS A LEGAL BINDING AND ENFORCEABLE CONTRACT BETWEEN YOU AND SPEAKINGPAL. BY DOWNLOADING, ACCESSING OR USING THE SPEAKINGPAL APP OR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ AND AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, YOU MAY NOT DOWNLOAD, ACCESS OR USE THE SPEAKINGPAL APP OR SERVICE, AND MUST UNINSTALL IT FROM YOUR DEVICE WHERE APPLICABLE.
You further warrant that you are eligible and of legal competence to enter into this Agreement and you are not prohibited by law into entering in any agreement; you have all proper authorization, if you are acting on behalf of a corporation, to enter into this Agreement including the authority to bind such corporation to this Agreement (in such case, the term “user” and “you” will refer to such corporation). If you are a user opening an Account with us (as defined below) you must be at the age of majority in your jurisdiction and at least at the age of 18. Users under the age of 18 must use the Services under the supervision and consent of their parents or legal guardians. In any event, our Services are not offered or designed to be used by users defined as “children” under applicable laws and such individuals may not use the SpeakingPal Apps and Services.
You hereby acknowledge that this Agreement is concluded between you and the SpeakingPal and not with the operator of the application store from which you are downloading our SpeakingPal App (i.e., Apple App Store or Google Play, hereinafter “Application Store”). The Application Store may have additional rules, terms and policies which also govern your download of the SpeakingPal App to your device, and you are further responsible to review and comply with such terms and policies.
1. Services, Account and Use Restrictions
1.1. SpeakingPal Apps and Services may include various features and functionalities, as we may offer from time to time, including interactive features, performance feedback and insights, etc.
1.2. Some features offered as part of the Services may include features, functionalities and capabilities powered by artificial intelligence technologies such as “free language” features (“AI Features”). It is hereby clarified that the usage of the AI Feature is optional and subject to the user’s discretion. The User hereby recognizes that AI technology, particularly generative AI, is a novel and evolving field. The output generated and returned by the AI Feature (“Output”) are further based on the data provided by user (“Input”) and there may be unknown risks, and the technology’s safeguards may not be comprehensive. The user acknowledges that that AI Features Outputs may not always be accurate or appropriate and may not be unique across users. The Company does not guarantee, and hereby explicitly disclaims, any warranty regarding the accuracy or consistency of Outputs.
1.3. Your use of the SpeakingPal Apps and Services is at your own responsibility and risk. We do not take any responsibility, or provide any warranties, for the outcomes resulting from the use of the SpeakingPal Apps and Services, nor guarantee any result of any kind.
1.4. Your use of certain Services might be subject to registration and creating a private account with us. If you use the Services as a Partner User, your usage is under the account created, designated or other authorization provided to you by the Partner you have engaged with (collectively the “Account”).
1.5. You hereby represent and warrant you will provide accurate and complete information when creating an Account. It is your responsibility to ensure the password you use or create to access your Account is of sufficient strength that cannot be reasonably discovered by third parties and for maintaining the confidentiality of your password, including to log-out of SpeakingPal App at the end of each use or session. You agree to immediately notify us and the Partner (where applicable) of any unauthorized use of your Account or any other breach of security regarding your Account. SpeakingPal will not be held liable for any losses or damage resulting from your failure to secure access to the SpeakingPal App and your account.
1.6. In addition, for Individuals Users, certain features of the SpeakingPal Apps and Services might be offered for use free of charge however other features, as decided by the Company from time to time at its sole discretion, are offered on a paid subscription basis (“Subscription”). Payments, termination and refunds for Subscription are as set forth under Section 3 of these Terms below. If you are a Partner User, your use of the SpeakingPal Apps and Services is further subject to the Partner's terms and the terms of engagement with the Partner.
1.7. Subject to the terms of this Agreement and your compliance with your obligations and restrictions herein, SpeakingPal hereby grants you a non-exclusive, non-transferable, non-assignable, limited rights to download, install and use the SpeakingPal App and Services strictly in accordance with the terms of this Agreement and solely for your personal, non-commercial use. You may not sell, rent, lease, sublicense, assign, transfer distribute or make any other commercial use of the SpeakingPal App or Services including any content you may create by use of the SpeakingPal App and Services.
1.8. You shall not, and shall not permit any third party to: (i) engage in, cause, or permit the reverse engineering, disassembly, de-compilation or any similar manipulation or attempt to discover the source code of the SpeakingPal App; (ii) bypass, alter, or tamper with any security or lockout features of the SpeakingPal App; or (iii) modify, copy, make derivative works of, disassemble, decrypt, adapt, reverse compile or reverse engineer any part of the SpeakingPal App or Services, or any content made available therein, including text, images, logos, drawings, design, descriptions, software, code, links, data, graphics and other features provided therein (“Content”) and any electronic or printed documentation provided to you in conjunction with SpeakingPal App, including without limitation instructions and beta testing guidelines (“Documentation”); (iv) remove, alter or obscure any proprietary notice (including any notice of copyright or trademark) of the Company or its affiliates, partners, suppliers or licensors; (v) use, access or attempt to access the SpeakingPal App in connection with any automated means, or introduce viruses, worms, Trojan horses, or harmful code to the SpeakingPal App; (vi) attempt to probe, scan or test the vulnerability of the SpeakingPal App; and (vii) use the SpeakingPal Apps and Services in violation of any applicable law or regulation, or do anything that promotes the violation of any applicable law or regulation.
2. Subscriptions, payments, cancelations and refunds
2.1. Enrolling to Subscriptions. Certain features of the SpeakingPal Apps and Services are available at no cost, while access to additional features requires an active Subscription. Subscription fees may be charged as a one-time payment or on a recurring basis, as shall be presented to you upon purchase of such Subscription. By enrolling in a Subscription, you authorize SpeakingPal to charge your selected payment method for all applicable Subscription fees. You are solely responsible for all charges incurred, including taxes, and for any purchases or Subscriptions made through your device or Account, whether by you or others with access to. If you are acting on behalf of an organization, you confirm that you have the authority to do so. Please note that SpeakingPal may use third-party payment processors to handle payments. If you subscribe via a third-party Application Store your purchase will be further subject to the Application Store payment terms, terms of use, and other applicable policies, including billing, renewals and refunds.
2.2. Payment Information. To access features requiring a Subscription, you must provide valid and accepted payment information. You represent that you are the authorized user of the payment method you use. If your payment method is declined, you must promptly provide alternative valid payment details or your access to Subscription features may be suspended at SpeakingPal’s discretion. Access will be restored only once your payment information is successfully processed and approved. You agree that in the event we are not able to collect the fees owed to us for the Services, we may take any other steps we deem necessary to collect such fees from you and that you will be responsible for all costs and expenses incurred by us in connection with such collection activity, including collection fees, court costs, and attorneys’ fees.
2.3. Trials. When you enroll in a Subscription, SpeakingPal may, at its discretion, offer a trial period during which you can access Subscription features at no cost or at a reduced rate ("Trial Period"). The availability and duration of any Trial Period may vary based on promotions, the type of Subscription, and the selected term. SpeakingPal reserves the right in its absolute discretion, to determine eligibility for a Trial Period and may modify or terminate Trial Period terms at any time, without notice or liability to you, subject to the limits permitted by applicable law. You may be required to provide valid payment information to begin a Trial Period. By doing so, you agree that unless you cancel your Subscription before the Trial Period ends, SpeakingPal will automatically begin charging you for the Subscription on a recurring basis (i.e., monthly, annually or otherwise in accordance with the terms of the Subscription you have enrolled to) as notified, starting immediately after the Trial Period. If you do not wish to be charged, you must cancel your Subscription before the Trial Period ends. If you cancel your Subscription, your will be able to access only free features in that event such are offered or available through the SpeakingPal App,
2.4. Subscription Term, Fees and Billing. Depending on the Subscription you choose, as may be offered by us from time to time, the Subscription fees for SpeakingPal Apps and Services may be charged as a one-time advance payment for the selected billing period (e.g., monthly, quarterly, semi-annual, or annual) or as monthly installments paid each month in advance. Subscriptions commence upon acceptance of these Terms and continue indefinitely until terminated by either you or SpeakingPal. At the end of each billing period, your Subscription will automatically renew for the same period unless terminated as described below. Renewals are subject to the Application Store policies, including with regard to renewals prior notifications, which may require you to activate such notices through your Application Store account settings The pricing and terms of your Subscription may vary depending on promotions, Subscription type, and the billing period you select at purchase. If your Subscription begins with a promotional offer or Trial Period at a reduced rate, subsequent billing periods will be charged at the higher rate. In some cases, your billing date or term may change if payment is not successfully processed on the original due date; SpeakingPal will use reasonable efforts to notify you of any such changes.
The amounts payable are exclusive of all applicable sales, use, consumption, VAT and other taxes. The prices detailed in the Subscription page may include good faith mistakes in pricing, subscription terms and other details pertaining to the commercial offering and transaction and we reserves the right to amend such mistakes by notifying you without undue delay after becoming aware of such mistake and you will have no claim with respect to any act done to correct or amend such mistake or error.
2.5. Cancellations and Refunds. By subscribing, you acknowledge that your Subscription will continue until you cancel it, and that payment for each subsequent billing period will be automatically charged to your chosen payment method unless you cancel in accordance with these Terms. Cancelation of paid Subscription, including the effective date of cancellation and where applicable, refunds, are handled and subject to the Application Store policies and shall be made solely through the Application Store by following the applicable terms and payment policies of such Application Store. Please see and Terms for applicable refund policies. Except as stated herein, all fees are non-refundable and non-cancellable. Moreover,
2.6. Subscription Modifications. SpeakingPal reserves the right to change Subscription fees, effective at the start of the next billing period, by providing a notification at the renewal stage. If you do not agree to the new price, your sole remedy is to cancel your Subscription prior to the effective date of such new price. Continued use of the SpeakingPal Apps and Services after a price change indicates your acceptance of the new price, to the extent permitted by law. SpeakingPal may offer additional features or premium upgrades for an extra fee. All rights not expressly granted are reserved by SpeakingPal and its licensors. SpeakingPal may, at its discretion, add or remove free features, adjust pricing for paid features (as set out in these Terms), require payment for previously free features, or introduce new free or paid features.
3. SpeakingPal App and Services’ Updates and Modifications
3.1. SpeakingPal, and any Application Stores, are under no obligation to provide support or maintenance for the SpeakingPal App or Services, or to supply any updates, upgrades, or enhancements. If SpeakingPal, at its sole discretion, provides you with any updates, upgrades, or new versions of the SpeakingPal App, such updates will be considered part of the SpeakingPal App and will be governed by the terms and conditions of this Agreement.
3.2. The Company reserves the right to update, modify, add or remove the features and functionalities of the SpeakingPal App, as well as suspend or discontinue, temporarily or permanently, the SpeakingPal App and Services or any part thereof. Where we make material modifications or otherwise suspend or discontinue the operation of the SpeakingPal App, and where reasonably feasible, we will provide prior notice. The Company may further, from time-to-time, issue upgraded versions of the SpeakingPal App and may automatically electronically upgrade the version of the SpeakingPal App that you are using on your device. You consent to such automatic upgrading on your mobile device.
3.3. If you are a Partner User, you acknowledge that the use of SpeakingPal App, and its features, is further subject to our engagement with the Partners and thus, the Partner you have engaged with determines the scope of Services, including if any updates, upgrades or support will be provided.
4. Intellectual Proprietary Rights
4.1. SpeakingPal, and where applicable its licensors and Partners, retains all ownership and any rights to the SpeakingPal App, Services, Content and Documentation, including without limitation all copyrights, patents, trademarks, trade secrets and other intellectual property rights, which shall remain the sole and exclusive property of the Company. Further, all techniques, algorithms and processes contained in the SpeakingPal App, or any modification or extraction thereof constitute trade secrets and/or proprietary information of SpeakingPal or its licensors and will be protected by this Agreement. Except for the limited rights to use the SpeakingPal App and Services expressly granted under this Agreement, we retain all rights, title ownership and interest in and to the SpeakingPal App, Services, Content, and Documentation to the fullest extent possible under applicable law.
4.2. The SpeakingPal (and where applicable its Partners’) logos, product names, software, emblems, manuals, documentation and other support and training materials are either patented, copyrighted, trademarked or owned by SpeakingPal or its licensors or Partners as trade secrets and/or proprietary information. You agree not to remove or alter any SpeakingPal or its Partners’ identification or notices of such proprietary restriction from the SpeakingPal App or Services unless agreed otherwise by SpeakingPal in writing. In addition, any and all proprietary rights related issues you become aware of should be addressed to SpeakingPal and to SpeakingPal only, at .
4.3. If you provide SpeakingPal with feedback concerning the functionality and performance of the SpeakingPal App and Services (“Feedback”), the Feedback that you provide may be used by SpeakingPal for any purpose, without limitations, including to improve or enhance its products and services and, accordingly, you grant SpeakingPal a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, sublicense, distribute, modify, and otherwise use such Feedback without restriction in any manner now known or in the future conceived.
5. Privacy & Data Protection
When you download, access and use the SpeakingPal App and Services, SpeakingPal will collect, store and use certain information regarding you and your use. SpeakingPal will use and process personal data included in the aforesaid information collected through your use of the SpeakingPal App and Services in accordance with our Privacy Policy available at: [add link to privacy policy] as may be updated from time to time. Please note that, if you are a Partner User, certain information we collect regarding your use is collected and processed on behalf of the Partner you have engaged with, and subject to its privacy policies and practices.
6. Disclaimer of Warranties
YOU UNDERSTAND AND ACKNOWLEDGE THAT SPEAKINGPAL APP AND SERVICESMAY CONTAIN ERRORS AND INACCURACY. THE SPEAKINGPAL APP AND SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, AND SPEAKINGPAL DISCLAIMS ANY AND ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS RELATING TO THE SPEAKINGPAL APP, SERVICES, CONTENT AND DOCUMENTATIONS, WHETHER EXPRESS, IMPLIED OR ARISING BY CUSTOM OR TRADE USAGE, OR FROM A COURSE OF DEALING INCLUDING BUT NOT LIMITED TO ANY REPRESENTATION, WARRANTY, OR CONDITION OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WITHOUT LIMITATION TO THE FOREGOING, SPEAKINGPAL PROVIDES NO WARRANTY OR UNDERTAKING, AND MAKES NO REPRESENTATION OF ANY KIND THAT THE SPEAKINGPAL APP AND SERVICES WILL MEET YOUR EXPECTATIONS, ACHIEVE ANY INTENDED RESULTS, BE COMPATIBLE OR WORK WITH ANY OTHER SOFTWARE, APPLICATIONS, SYSTEMS, DEVICE OR SERVICES, OPERATE WITHOUT INTERRUPTION, MEET ANY PERFORMANCE STANDARDS, BE ERROR FREE OR THAT ANY ERRORS OR DEFECTS CAN OR WILL BE CORRECTED OR THAT THE SPEAKINGPAL APP AND SERVICES, AND ANY INFORMATION TRANSMITTED WILL BE SECURED OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. WITHOUT DEROGATING FROM ANY OTHER DISCLAIMER OF WARRANTIES UNDER THIS AGREEMENT, SPEAKINGPAL SPECIFICALLY DISCLAIMS ANY WARRANTY RELATED TO THIRD PARTY SERVICES, INCLUDING PARTNER’S SERVICES. PLEASE FURTHER NOTE THAT IF YOU ARE A PARTNER USER, ANY DISPUTE OR CLAIMS YOU MAY HAVE RELATED TO THE SPEAKINGPAL APPS AND SERVICE ARE AND SHALL BE BROUGHT AGAINST AND RESOLVED DIRECTLY WITH THE PARTNER. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN TYPES OF WARRANTIES OR LIMITATIONS OF APPLICABLE STATUTORY RIGHTS OF A CONSUMER, AND ACCORDINGLY, DEPENDING ON YOUR JURISDICTION, SOME OR ALL OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU AND NOTHING IN THIS SECTION WILL AFFECT YOUR STATUTORY RIGHTS UNDER APPLICABLE LEGISLATION, INCLUDING CONSUMER PROTECTION LAWS. IN SUCH EVENTS THE EXCLUSIONS AND LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY TO THE GREATEST EXTENT ENFORCEABLE UNDER APPLICABLE LAW.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW:
SPEAKINGPAL SHALL HAVE NO LIABILITY TO YOU UNDER OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OR INABILITY TO USE THE SPEAKINGPAL APP OR SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER THEORY OR CAUSE AND FOR ANY LOSS OR DAMAGE ARISED FROM: (I) YOUR USE OF PARTNER’S SERVICES; (II) YOUR BREACH OF THIS AGREEMENT, APPLICABLE LAWS, UNLAWFUL OR FRAUDULENT ACT OR OMISSION; (III) DUE TO CIRCUMSTANCES BEYOND OUR CONTROL OR OUR NEED TO COMPLY WITH LEGAL REQUIREMENTS; (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SPEAKINGPAL APP OR SERVICES; (V) RELATES TO ANY OTHER CAUSE (REGARDLESS OF THE FORM OF ACTION OR TIMING), WHICH ARISES FROM OR RELATES TO ANY SERVICES WE HAVE PROVIDED OR DID NOT PROVIDED UNDER THE INSTRUCTIONS OF OUR PARTNER; (VI) ANY UNAVAILABILITY OF THE SPEAKINGPAL APP OR SERVICES OR USE OF OR RELIANCE ON SUCH, INCLUDING ANY CONTENT DISPLAYED THEREIN OR ACCESSED WHILE OTHERWISE USING THE SPEAKINGPAL APP OR SERVICES.
IN NO EVENT SHALL SPEAKINGPAL, ITS AFFILIATES, ITS LICENSORS, OR ITS THIRD-PARTY PROVIDERS BE LIABLE TO YOU FOR ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA OR OTHER INFORMATION, BUSINESS INTERRUPTION, ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SPEAKINGPAL APP AND SERVICES OR OTHERWISE IN CONNECTION WITH ANY PROVISION OF THIS AGREEMENT.
NOTWITHSTANDING THE PROVISIONS OF THIS AGREEMENT, SHOULD A COURT OF COMPETENT JURISDICTION FIND US LIABLE TO YOU IN RELATION TO YOUR USE OF THE SPEAKINGPAL APP OR SERVICES OR UNDER THIS AGREEMENT, THEN WE WILL ONLY BE LIABLE TO YOU FOR DIRECT LOSS THAT WE COULD HAVE REASONABLY BE EXPECTED TO FORESEE, AT THE TIME OF ENTERING THIS AGREEMENT, AND OUR MAXIMUM LIABILITY IS LIMITED TO THE FEES PAID BY YOU DURING ONE (1) MONTH PERIOD PRECEDING THE DATE ON WHICH THE CLAIM AROSE, IN THE AGGREGATE.
NOTHING IN THIS AGREEMENT SHALL EXCLUDE OUR LIABILITY FOR DAMAGES CAUSED BY OUR WILLFUL MISCONDUCT, FRAUD OR FRAUDULENT MISREPRESENTATION OR GROSS NEGLIGENCE (EXCEPT IN CASES WHERE APPLICABLE PERMITS GROSS NEGLIGENCE TO BE SUBJECT TO THE LIABILITY CAP SET FORTH ABOVE) IN CONNECTION WITH THE SPEAKINGPAL APP OR SERVICES NOR EXCLUDE OUR LIABILITY FOR PERSONAL INJURY OR DEATH CAUSED BY OUR FAULT OR ANY OTHER LIABILITY WHICH CANNOT BE EXCLUDED BY APPLICABLE LAW. NOTHING IN THIS SECTION AFFECTS YOUR STATUTORY RIGHTS UNDER APPLICABLE LAWS OR LIMIT ANY REMEDIES WHICH ARE AVAILABLE TO YOU BY LAW AND CANNOT BE EXCLUDED.
IF YOU USE THE SPEAKINGPAL APP OR SERVICES AS A PARTNER USERS – ALL CLAIMS AND LIABILITIES SHALL BE DIRECTLY BETWEEN YOU AND THE PARTNER.
8. Suspension, Term and Termination.
8.1. The term of this Agreement is as of its acceptance through download of the SpeakingPal Apps, registration or otherwise when you access and use the Services and shall remain in effect until terminated by either party as set forth herein (“Term”). Notwithstanding the above, the Term shall continue, at the minimum, for the term of your Subscription, if applicable.
8.2. You may terminate this Agreement by cease using the SpeakingPal App and Services, terminate your account, uninstalling the App and cancelling your Subscription, as applicable to your use of the SpeakingPal Apps and Services.
8.3. We may, at any time, suspend, limit or terminate your use of the SpeakingPal App (temporarily or permanently) and this Agreement. We may do so, in our sole discretion: (i) subject to our rights under the Partner engagement or upon termination of such engagement; (ii) in the event we reasonably determined you are in breach of this Agreement, in a fraudulent matter or breach of applicable laws, or may cause us, you or any third party with potential damage or fault (for example due to security threats, or where we suspected your credentials were compromised, etc.); (iii) if we are updating or conducting maintenance or other repairs that affect our SpeakingPal App or Services, or if it is needed in order to comply with our legal obligations; (iv) if we are prevented from providing the SpeakingPal App or Services for any reason beyond our reasonable control; (v) if we decide to cease the operation of the SpeakingPal App or Services in your territory or in general or otherwise decide to change our business operation.
We will endeavor to provide advance notice of any suspension or termination but, unless required under applicable laws, we are not obligated to provide such notice. We might be further prevented from providing such notice if we reasonably determine it may cause us damage or apply liability.
Except where we terminate due to your breach as set forth above, for paid Subscriptions, you will be entitled to pro-rata refund of any fees paid, as of the effective date of termination
You may contact us, or, as applicable, the Partner, to request the removal of suspension or reactivation of your Account. We will remove your suspension if we reasonably determine the cause was removed or cured, however, we have no obligation to you to do so.
8.4. You or the Company will not be liable to the other party for any termination or suspension as set forth above and termination or suspension shall be without prejudice to or limitation of any other remedies or any accrued obligations of either party.
8.5. Upon expiration or termination of this Agreement, you shall cease all use of the SpeakingPal App and Services and uninstall the SpeakingPal App from your device, and all rights and obligations pursuant to this Agreement shall immediately terminate, except for any provisions of this Agreement that are intended by their nature to survive termination, which shall survive the expiration or termination of this Agreement. Note that, if you use the Services under a Subscription, you must further cancel the Subscription as set forth above and uninstalling the App or deleting your Account will not cancel your Subscription,
9. General.
9.1. No agency, partnership or joint venture relationship is or shall be created by virtue of this Agreement. You may not assign this Agreement or any of the rights or obligations granted hereunder.
9.2. In case certain terms included in this Agreement shall be considered in certain state or other jurisdiction as prohibited, those terms, or part of it, shall, to the minimum extent necessary so that this agreement shall remain in full force and effect, not apply thither.
9.3. To the maximum extent permitted by law, the Company reserves the right, at its sole discretion, to modify or replace the terms of this Agreement, in whole or in part, at any time. If there are any significant changes that materially affect your rights or relationship with us, we will use commercially reasonable efforts to notify you by sending a notice to the primary email address specified in your Account, or by posting a prominent notice on the SpeakingPal App, prior to any new terms taking effect. What constitutes a material change will be determined at the sole discretion of the Company.
By continuing to access or use the SpeakingPal App after any revisions become effective, you agree to be bound by the revised Agreement. Where required under applicable laws, we will obtain your consent to the revised Agreement. If You do not agree to the revised Agreement or any part thereof, you will cease use of the SpeakingPal App and uninstall it from your device.
9.4. No Party will be deemed to have waived the exercise of any right that it holds under this Agreement unless such waiver is made in writing. No waiver made with respect to any instance involving the exercise of any such right will be deemed to be a waiver with respect to any other instance involving the exercise of the right or with respect to any other such right.
9.5. This Agreement shall be governed by, interpreted and enforced in accordance with the laws of the State of Israel, without regard to its conflict of law principles. All actions, suits or proceedings under or related to this Agreement shall be adjudicated in the competent courts of Tel Aviv, Israel, and the Parties hereby irrevocably consent to the exclusive jurisdiction and venue of such courts. Notwithstanding the foregoing, SpeakingPal shall retain the right to institute proceedings including interlocutory and/or injunctive relief in any relevant territory.
